Terms of Service

Effective date: 2026-05-04 Last updated: 2026-09-17

1. Agreement to these Terms

These Terms of Service (the "Terms") form a binding agreement between Rentibly, LLC, a Delaware limited liability company with its registered office at 131 Continental Dr, Suite 305, Newark, DE 19713, United States ("Rentibly", "we", "us", "our"), and the entity or person that creates a Rentibly account or otherwise accesses the Service ("Customer", "you", "your").

By creating an account, clicking "I agree", executing an Order Form that references these Terms, or accessing or using the Service, you agree to be bound by these Terms and by the Data Processing Addendum at §8, which is incorporated by reference. If you do not agree, do not use the Service.

If you are accepting on behalf of a company or other legal entity, you represent that you have authority to bind that entity, and "you" means that entity. If you lack that authority, you must not accept these Terms or use the Service.

These Terms contain a binding arbitration provision and a class-action waiver in §26. Read it. It affects how disputes between us are resolved.

1.1 Contracting entity and affiliates

Rentibly, LLC is the contracting party for all Customers worldwide unless an Order Form names a different Rentibly entity. Rentibly may, on 30 days' notice, substitute an affiliate as the contracting party for Customers in a given region (for example, a United Arab Emirates entity for Customers in the GCC), provided the substituted entity assumes all obligations under these Terms in full. Such substitution does not require your consent and does not change any other term.

2. Definitions

  • "Service" — the Rentibly platform in all its forms, including the Rentibly Hub operator application, Rentibly Connect, the guest, owner, operations and support portals, hosted direct-booking websites, the Rentibly public API, the Rentibly mobile applications, the Rentibly marketing website, and all associated documentation, features and add-ons.
  • "Customer Data" — all data, content, text, files and records that you, your Users, or your End Users submit to, upload to, or generate within the Service. This includes property records, bookings, contacts, guest and owner records, conversations, financial records, documents, and configuration.
  • "User" — an individual you authorise to access the Service under your account, including your employees, contractors and agents.
  • "End User" — any individual who interacts with the Service through a surface you operate — a guest, a property owner, a vendor, a website visitor, or a message correspondent.
  • "Third-Party Service" — any service not operated by Rentibly that the Service connects to, including online travel agencies and channel managers (Airbnb, Booking.com, Vrbo, Expedia, NextPax, Bayut, Property Finder, Dubizzle, PriceLabs and others), payment processors (Stripe), messaging providers (WhatsApp Business Platform via Gupshup, SMS via Twilio, email via Amazon SES, Google, Microsoft), smart-lock providers (Seam, TTLock), calendar providers, and AI providers.
  • "Order Form" — a written or electronic ordering document, subscription selection, or plan confirmation identifying the Service tier, term and fees.
  • "Documentation" — the user guides, in-product help, API reference and operator guides Rentibly makes available.

3. Accounts, eligibility and security

3.1 Eligibility. You must be at least 18 years old and capable of forming a binding contract. The Service is a business tool offered to businesses and is not directed at consumers or children.

3.2 Account security is shared, and most of it is yours. Rentibly requires multi-factor authentication for every User and provides role-based permissions, session management and audit logging. You are responsible for: configuring permissions appropriately for each User; deactivating Users promptly when they leave; safeguarding credentials, API keys and access tokens; and all activity occurring under your account, whether or not authorised by you.

3.3 Notify us. You must notify us at security@rentibly.com without undue delay, and in any event within 24 hours, of any actual or suspected unauthorised access to your account.

3.4 API keys. Public API keys are bearer credentials. You are responsible for scoping them to the minimum permissions required, rotating them, restricting them by IP where the feature is available, and revoking them on compromise. Activity performed with your API key is your activity.

4. The Service, changes, and beta features

4.1 Licence. Subject to these Terms and payment of applicable fees, Rentibly grants you a non-exclusive, non-transferable, non-sublicensable right to access and use the Service during the term, for your internal business purposes.

4.2 We will change the Service. Rentibly may add, modify, or remove features. We will not make a change that materially degrades a core function of the tier you have paid for without at least 30 days' notice. Everything else — improvements, interface changes, new features, deprecation of features you do not use — may happen without notice.

4.3 Beta, preview and early-access features. Features identified as beta, preview, early access, experimental or similar are provided "AS IS", without any warranty, support commitment, or service-level commitment, may be changed or withdrawn at any time, and are excluded from any SLA. Use them at your own risk and do not rely on them for anything you cannot afford to lose.

4.4 Documentation is descriptive. Documentation describes the Service as Rentibly understands it at the time of writing. It is not a warranty and does not form part of these Terms.

5. Fees, billing and taxes

5.1 Fees. You will pay the fees stated in your Order Form or plan selection. Unless stated otherwise, fees are quoted and payable in the currency shown at checkout, are billed in advance for each subscription period, and are non-refundable except where these Terms or applicable law expressly require a refund.

5.2 Automatic renewal. Subscriptions renew automatically for successive periods equal to the then-current term unless cancelled before the end of the current period. You may cancel at any time from the billing settings; the cancellation takes effect at the end of the period then in progress.

5.3 Usage-based charges. Some features are metered — including but not limited to AI processing, messaging (WhatsApp, SMS, email), voice and video calling minutes, call recording and transcription, storage, and channel connectivity. Metered charges accrue as used and are billed in arrears. Where a plan includes an allowance, usage beyond it is charged at the published rate. You are responsible for monitoring your own usage; Rentibly provides usage visibility in-product but does not guarantee to warn you before an overage.

5.4 Pass-through costs. Fees charged by Third-Party Services — payment processing fees, messaging carrier and platform fees, channel or OTA commissions, AI provider charges — are set by those third parties and are passed through to you at their rate. Rentibly does not control them and they may change.

5.5 Price changes. Rentibly may change fees with at least 30 days' notice before the start of your next renewal period. If you do not accept a price change, your remedy is to cancel before that period begins.

5.6 Taxes. Fees are exclusive of all taxes, levies and duties, including sales tax, VAT, and UAE VAT. You are responsible for all such amounts other than taxes on Rentibly's net income. If you are required to withhold any amount, you will gross up so that Rentibly receives the full amount stated.

5.7 Late payment and suspension. Undisputed amounts unpaid 15 days after the due date may accrue interest at the lower of 1.5% per month or the maximum permitted by law. Rentibly may suspend the Service for non-payment on 7 days' notice. Suspension does not relieve you of accrued fees. You must raise any good-faith billing dispute in writing within 30 days of the invoice date.

6. Your data, and what we may do with it

6.1 You own it. As between you and Rentibly, you retain all right, title and interest in Customer Data. Rentibly claims no ownership over your properties, bookings, contacts, conversations, documents or financial records.

6.2 The licence you grant us is narrow and purposive. You grant Rentibly a worldwide, non-exclusive, royalty-free licence to host, store, copy, transmit, display, adapt and process Customer Data solely to: (a) provide, secure and support the Service for you; (b) prevent or address technical, security or fraud problems; and (c) comply with law. This licence ends when the Customer Data is deleted, except for backups retained for the period described in §25.5.

6.3 We do not sell your data. Rentibly does not sell, rent or licence Customer Data or End User personal data to anyone, and does not use it for advertising.

6.4 We do not train models on your data. Rentibly does not use Customer Data to train, fine-tune or improve any machine-learning model, and contracts with its AI sub-processors on terms that prohibit them from doing so with data submitted through the Service. See §12.

6.5 Aggregated statistics. Rentibly may generate and use aggregated, de-identified statistics about Service usage — for example, feature adoption and performance metrics — provided such statistics never identify you, your Users, your End Users, or any Customer Data, and are never derived by combining data across Customers in a way that could re-identify any of them.

6.6 Your responsibilities for the data you put in. You represent and warrant that you have all rights, consents and lawful bases necessary for Rentibly to process Customer Data as contemplated by these Terms, and that Customer Data does not infringe any third party's rights or violate any law.

6.7 Do not submit prohibited data. Unless expressly agreed in writing, you must not submit to the Service: protected health information subject to HIPAA; payment card numbers, CVV or full expiry dates (see §9.2); government-issued credentials beyond what the Service's identity-document features are designed to hold; or data subject to export-control classification, ITAR, or any regime requiring controls Rentibly has not agreed in writing to provide.

7. Roles under data-protection law

For personal data contained in Customer Data — including the personal data of your guests, owners, vendors and staff — you are the controller (or "business", or equivalent) and Rentibly is the processor (or "service provider"). You determine the purposes and means; Rentibly processes on your documented instructions.

For personal data Rentibly processes about you and your Users in order to operate the commercial relationship — account details, billing records, support correspondence, product telemetry — Rentibly is the controller, and the Rentibly Privacy Policy applies.

You are responsible, as controller, for: establishing a lawful basis for your processing; providing your own privacy notice to your End Users; obtaining and recording any consent required (including for marketing, messaging and cookies on surfaces you operate); honouring data-subject requests; and determining your own retention periods. Rentibly provides the tooling to give effect to these obligations — including automated data export and erasure — but does not decide them for you, and does not delete your data on a schedule of its own.

8. Data Processing Addendum

The Rentibly Data Processing Addendum (available at rentibly.com/legal/dpa) is incorporated into and forms part of these Terms and applies whenever Rentibly processes personal data on your behalf. It sets out Rentibly's processor obligations, the security measures, the sub-processor regime, and the Standard Contractual Clauses where required for international transfers.

The current list of sub-processors is published at rentibly.com/legal/sub-processors. Rentibly gives notice of a new or replacement sub-processor by updating that list; you can ask to be told of each change by email at legal@rentibly.com. You may object on reasonable data-protection grounds, as set out in the Data Processing Agreement; Rentibly will then work with you in good faith on a commercially reasonable alternative.

Where the DPA and these Terms conflict on the treatment of personal data, the DPA prevails.

9. Payments — what Rentibly is not

This section is important and is written plainly.

9.1 Rentibly is not a payment processor, money transmitter, escrow agent, or party to your transactions. Where you accept payments from guests through the Service, you connect your own account with a licensed payment provider (currently Stripe). Funds move directly between the payer and your provider account. Rentibly never holds, receives, controls, or disburses your funds or your guests' funds.

9.2 Rentibly does not process card data. All card entry occurs inside the payment provider's hosted surfaces. Rentibly stores only provider tokens and non-sensitive metadata (card brand, last four digits, expiry month and year). You must not attempt to transmit full card numbers, CVV or full expiry data to the Service by any route.

9.3 You are the merchant of record. You are solely responsible for: your relationship with and compliance with your payment provider's terms; your own PCI DSS obligations as a merchant; pricing, taxes, invoicing and receipts; refunds, chargebacks, disputes and fraud losses; and all consumer-protection, licensing and tourism-authority obligations applicable to your business.

9.4 Owner payouts, statements and financial outputs. The Service computes owner statements, commissions, fees, taxes, discounts, payouts and reports according to the configuration you choose — recognition mode, payment basis, commission rates, fee catalogues, cash caps and per-owner or per-property overrides. These outputs are informational and are not accounting, tax, audit, investment or legal advice.

You must independently verify every financial output before relying on it to pay any person, file any return, or make any representation to an owner, investor, guest or authority. Rentibly does not warrant that any statement, payout figure, commission calculation, tax amount or report is accurate, complete, or fit for your jurisdiction or accounting standard, and Rentibly is not liable for any amount you pay, fail to pay, over-pay or under-pay to any owner, guest, vendor, authority or other person.

9.5 Platform billing. Rentibly's own subscription charges to you are processed through Stripe Checkout. That relationship is separate from §9.1.

10. Channels, OTAs and other Third-Party Services

10.1 They are not ours. Third-Party Services are operated independently. Your use of them is governed by their terms and policies, which you must read and comply with. Rentibly is not a party to that relationship.

10.2 No guarantee of connectivity or synchronisation. Rentibly does not warrant that any channel, portal, messaging provider, payment provider, smart-lock provider, calendar provider or other integration will be available, will synchronise completely or promptly, or will continue to be supported. Third parties change their APIs, policies, commercial terms, rate limits and certification requirements without consulting us, and may suspend or terminate access at any time.

10.3 What this means in practice, and it matters. Listing content, rates, availability, booking rules, fees, taxes and policies that the Service sends to a channel may be rejected, transformed, delayed, partially applied, or not supported at all by that channel. A booking accepted by a channel may not match the rules you configured in Rentibly. You are responsible for verifying your live listings on each channel, for honouring bookings you accept, and for all consequences of a mismatch — including overbookings, rate errors, and any resulting guest compensation, penalty or delisting. The Rentibly operator guide identifies which fields synchronise to which channel; consult it, and verify on the channel itself.

10.4 Suspension by a third party. If a Third-Party Service suspends, restricts or terminates Rentibly's or your access, Rentibly may suspend the corresponding feature without liability, and will notify you.

10.5 Deprecation. Rentibly may discontinue any integration on 30 days' notice, or immediately where required by the third party or by law.

11. Messaging, communications and anti-spam

11.1 Consent is yours to obtain and prove. You are solely responsible for obtaining, recording and being able to demonstrate all consents, opt-ins and lawful bases required to send email, SMS, WhatsApp or other messages through the Service, and for honouring opt-outs and suppression promptly.

11.2 Compliance. You must comply with all applicable law and provider policy, including the WhatsApp Business Messaging Policy and Commerce Policy, the CAN-SPAM Act, the TCPA, the ePrivacy Directive and national implementations, UAE TRA/TDRA rules, and the acceptable-use policies of every channel and carrier in your path. You must not send unsolicited bulk messages, spoof sender identity, or use the Service to evade a recipient's opt-out.

11.3 Sending reputation. You are responsible for the sending reputation of domains and numbers you connect. Rentibly may throttle, suspend or disconnect a sending identity that generates excessive bounces, complaints, blocks or policy violations, without notice where required to protect the platform or other Customers.

11.4 Recording. Where you enable call recording or transcription, you are responsible for providing any notice and obtaining any consent required by every jurisdiction in which a party to the call is located. Consent requirements differ by jurisdiction and some require all parties to consent.

11.5 Rentibly may contact you. Rentibly will send operational and transactional messages about your account, security, billing and Service changes. These are not marketing and you cannot opt out of them while you hold an account.

12. Artificial intelligence features

12.1 What they are. The Service includes AI-assisted features — drafting and reply suggestions, summarisation, intent detection, extraction, content generation, transcription, moderation, scoring and recommendations — which are provided by third-party AI models operating as Rentibly's sub-processors.

12.2 Output is probabilistic and may be wrong. AI output may be inaccurate, incomplete, outdated, biased, or fabricated, and may be inconsistent between identical requests. You must review AI output before relying on it, sending it to a third party, or acting on it. You are responsible for all content you send and all decisions you take, whether or not AI assisted in producing them.

12.3 No automated decision-making about individuals. Rentibly does not design AI features to make decisions producing legal or similarly significant effects about an individual without human involvement. Scores and suggestions are advisory. If you configure a workflow that removes human review, you become responsible for the resulting processing under Art. 22 GDPR and equivalent laws.

12.4 Training. As stated in §6.4, Customer Data is not used to train models, and Rentibly's AI sub-processors are contractually bound not to train on data submitted through the Service.

12.5 Fair use. AI features are subject to usage limits. Rentibly may throttle or suspend AI features on an account whose consumption is disproportionate, automated at scale, or inconsistent with normal operator use.

13. Electronic signatures and agreements

13.1 Rentibly provides the tool; you own the document. The Service provides electronic-signature functionality including signer authentication, intent capture, tamper-evident sealing, hashing, an immutable executed artifact and a Certificate of Completion.

13.2 You are responsible for legal validity. You are solely responsible for: the content, accuracy and legality of every document; whether electronic signature is legally sufficient for that document in the relevant jurisdiction (some instruments — certain wills, some property conveyances, and anything requiring notarisation or a qualified signature — are excluded by law); the authority of each signer to bind their party; providing the signer with the required consent-to-transact disclosure; and your own record-retention obligations.

13.3 Keep your own copy. Rentibly stores executed agreements as a convenience and to support the integrity evidence it produces. The Service is not your system of record. Export and retain your own authoritative copies.

13.4 What Rentibly is responsible for. Rentibly is responsible for the integrity of the signing mechanism and the evidence it produces — the seal, the hash, the audit trail and the Certificate of Completion — and for securing the data in accordance with the DPA. Rentibly makes no representation that any particular agreement is valid or enforceable.

14. Hosted websites, portals and custom domains

14.1 Your content, your responsibility. Content you publish through hosted websites, booking widgets, guest, owner or operations portals, or any surface served on a domain you control is your content. You are responsible for its accuracy and legality, for your own privacy notice and cookie banner, for accessibility obligations, for consumer-protection and advertising rules, and for all required licensing, permit and tourism-authority disclosures.

14.2 Domains. You are responsible for owning and maintaining any custom domain you point at the Service and for its DNS configuration. Rentibly may suspend a custom domain that is misconfigured in a way that degrades the platform or that is used in breach of these Terms.

14.3 Takedown. Rentibly may remove content or suspend a surface that Rentibly reasonably believes infringes a third party's rights, violates law, or breaches §15 — where practicable with notice, and immediately where not. Send infringement notices to legal@rentibly.com.

15. Acceptable use

You will not, and will not permit any User or third party to:

  1. use the Service in violation of any applicable law or regulation, or in violation of any Third-Party Service's terms;
  2. upload or transmit malware, or attempt to gain unauthorised access to the Service, another Customer's data, or any system or network;
  3. probe, scan, penetration-test, stress-test or benchmark the Service without Rentibly's prior written authorisation;
  4. circumvent or attempt to circumvent rate limits, usage caps, permissions, tenancy boundaries, authentication or any other technical control;
  5. reverse engineer, decompile, disassemble, or attempt to derive source code, models, algorithms or underlying structure, except to the extent that restriction is unenforceable under applicable law;
  6. copy, frame, mirror, resell, sublicense, time-share or provide the Service as a service bureau to any third party, except as expressly permitted in an Order Form;
  7. use the Service, or any output or benchmarking data derived from it, to build or assist in building a competing product or service;
  8. scrape, crawl or harvest data from the Service other than through the documented public API within its published rate limits;
  9. send spam, unsolicited messages, or content that violates the policies of any connected channel, carrier or provider;
  10. upload content that is unlawful, defamatory, obscene, harassing, or that infringes intellectual-property or privacy rights;
  11. impersonate any person or misrepresent an affiliation;
  12. use the Service to store or process data types prohibited by §6.7; or
  13. interfere with or disproportionately burden the Service or its infrastructure.

Enforcement. Rentibly may investigate suspected violations and may suspend or terminate access. Where the violation threatens the security, integrity or availability of the Service or another Customer's data, Rentibly may act immediately and without notice.

16. Intellectual property

16.1 Rentibly's IP. The Service, including all software, interfaces, designs, models, workflows, Documentation, and the Rentibly name, logos and brand, is and remains the exclusive property of Rentibly and its licensors. Nothing in these Terms transfers any ownership to you. All rights not expressly granted are reserved.

16.2 Feedback. If you provide suggestions, feature requests, or other feedback, you grant Rentibly a perpetual, irrevocable, worldwide, royalty-free licence to use and incorporate it without restriction, attribution or compensation. Do not send feedback you are not free to give on those terms.

16.3 Your marks. You grant Rentibly a limited licence to display your name and logo within the Service where necessary to operate it for you (for example, on your hosted website and on guest-facing communications you configure).

17. Confidentiality

Each party may receive non-public information of the other. The receiving party will protect it with at least reasonable care, use it only to perform under these Terms, and disclose it only to personnel and advisers with a need to know who are bound by comparable obligations. This does not apply to information that is or becomes public through no fault of the receiving party, was rightfully known before disclosure, is independently developed, or is rightfully received from a third party. A party may disclose Confidential Information where legally compelled, giving the other party prompt notice where lawful. Customer Data is your Confidential Information and is additionally governed by the DPA.

18. Security

18.1 What Rentibly does. Rentibly maintains technical and organisational measures appropriate to the risk, as described in the DPA and summarised on the Rentibly Trust page. These include encryption in transit and at rest, tenant isolation enforced at both the application and database layers, mandatory multi-factor authentication, role-based access control, audit logging, automated dependency and code scanning, and continuous infrastructure monitoring.

18.2 What you do. Security is shared. §3.2, §3.4 and §15 set out your part. A breach caused by credentials you failed to protect, permissions you configured too broadly, or a User you failed to deactivate is not a breach of Rentibly's obligations.

18.3 Incident notification. Rentibly will notify you without undue delay of a personal-data breach affecting Customer Data, on the terms and within the timeframe set out in the DPA, with the information available at the time.

18.4 No system is impenetrable. Rentibly does not warrant that the Service will be free from vulnerabilities, intrusion or data loss.

19. Availability and service levels

19.1 Target, not promise. Rentibly aims for high availability and operates redundant, monitored infrastructure with automated alerting and rollback. These Terms do not by themselves create a service-level commitment.

19.2 SLA by written addendum only. A binding uptime commitment, with service credits as the sole and exclusive remedy, applies only where set out in a written Service Level Addendum executed or expressly referenced in your Order Form. Absent that, the Service is provided without an availability guarantee.

19.3 Excluded from any SLA. Any availability commitment excludes: scheduled and emergency maintenance; failures of Third-Party Services; failures of your network, devices, DNS or configuration; suspension under §5.7, §11.3, §15 or §25.2; beta features (§4.3); force majeure (§27.9); and any period during which you are in material breach.

19.4 Maintenance. Rentibly will give reasonable advance notice of planned maintenance expected to cause material disruption, and may perform emergency maintenance at any time without notice.

20. Support

Rentibly provides support through the in-product support desk and published channels, at the level corresponding to your tier. Response targets are targets, not guarantees, unless stated in an executed Service Level Addendum. Support does not include consulting, data migration, custom development, accounting configuration, or advice on your legal or tax obligations.

21. Warranties

21.1 Mutual. Each party warrants that it has the legal power to enter into these Terms.

21.2 By you. You warrant that: you and your Users will use the Service in compliance with these Terms and all applicable law; you have all rights, consents and lawful bases required for Customer Data (§6.6); you hold all licences, permits and registrations required to operate your business and your properties; and you will not use the Service in any way that causes Rentibly to violate any law or third-party agreement.

21.3 No warranty by Rentibly. Rentibly makes no warranty of any kind in respect of the Service. See §22.

22. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, RENTIBLY, ITS AFFILIATES, AND THEIR RESPECTIVE EMPLOYEES, DIRECTORS, OFFICERS, SUBCONTRACTORS, AGENTS, LICENSORS, SUPPLIERS AND REPRESENTATIVES (COLLECTIVELY, THE "RENTIBLY PARTIES") DISCLAIM ALL REPRESENTATIONS, WARRANTIES, GUARANTEES AND CONDITIONS OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, QUALITY, NON-INFRINGEMENT, TITLE, COMPATIBILITY, PERFORMANCE, SECURITY, ACCURACY, ENHANCED GOODWILL AND EXPECTED BENEFITS, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. NO STATEMENT BY ANY RENTIBLY PARTY, ORAL OR WRITTEN, THAT IS NOT EXPRESSLY SET OUT IN THESE TERMS CREATES ANY WARRANTY OR GIVES RISE TO ANY LIABILITY.

Without limiting the foregoing, Rentibly does not warrant that: the Service will be uninterrupted, timely, secure or error-free; defects will be corrected; the Service will meet your requirements; any Third-Party Service will remain available or will synchronise correctly (§10); any AI output will be accurate (§12); any financial calculation, owner statement, payout, commission or tax figure will be correct or suitable for your jurisdiction (§9.4); or any electronic signature will be valid or enforceable (§13).

Rentibly does not provide legal, tax, accounting, financial, insurance or regulatory advice. Nothing in the Service or the Documentation constitutes such advice. Engage your own qualified advisers.

Some jurisdictions do not allow the exclusion of implied warranties, so some of the above may not apply to you.

23. Limitation of liability

23.1 Exclusion of indirect damages. TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, STATUTORY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, BUSINESS OPPORTUNITY, GOODWILL, ANTICIPATED SAVINGS, OR DATA, OR ANY INTANGIBLE OR ECONOMIC LOSS, HOWEVER CAUSED AND ON ANY THEORY OF LIABILITY INCLUDING NEGLIGENCE, EVEN IF ADVISED OF THE POSSIBILITY.

Without limiting the foregoing, the Rentibly Parties will have no liability for any such damages arising from or in connection with: (a) the Service; (b) your use of, or inability to use, the Service; (c) your account; (d) any Third-Party Service, channel or OTA; (e) the conduct or misconduct of any guest, property owner, vendor or User; (f) your reliance on any expected outcome or benefit of the Service; (g) any failure, error, interruption or breakdown in the Service; (h) any act, fault or error of any Rentibly Party; (i) the suspension, denial, cancellation or termination of your account; or (j) the retention, deletion, disclosure, loss or corruption of any data.

23.2 Cap. TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF THE RENTIBLY PARTIES ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE TOTAL FEES YOU PAID TO RENTIBLY IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM. Where no fees have been paid, that liability will not exceed one hundred United States dollars (US$100).

23.3 Specific exclusions. Without limiting §23.1 and §23.2, the Rentibly Parties will have no liability whatsoever for:

  • amounts you pay, fail to pay, over-pay or under-pay to any owner, guest, vendor, authority or other person, however calculated (§9.4);
  • any tax, duty, levy, fine or penalty assessed against you;
  • overbookings, double-bookings, rate errors, listing errors, cancellations, delistings, penalties or commissions arising from any channel, OTA or portal (§10.3);
  • the validity, enforceability or sufficiency of any electronically signed document (§13);
  • decisions you take, content you send, or actions you automate on the basis of AI output (§12.2);
  • loss or corruption of Customer Data to the extent you did not maintain your own independent backups and exports;
  • your failure to obtain any required consent, licence or permit; or
  • any act or omission of a Third-Party Service.

23.4 Exceptions to the cap. §23.1 and §23.2 do not limit: your payment obligations under §5; your indemnity obligations under §24 (Rentibly gives no indemnity); either party's liability for fraud, fraudulent misrepresentation or wilful misconduct, for death or personal injury caused by negligence, or any other liability that cannot be excluded or limited by applicable law; or your breach of §15 (Acceptable use) or §16 (Intellectual property).

23.5 Allocation of risk. The limitations in this section are an essential element of the bargain between the parties and apply notwithstanding the failure of any limited remedy.

24. Indemnification

24.1 By you. You will defend, indemnify and hold harmless Rentibly, its affiliates, and their officers, directors, employees and agents from and against any claim, demand, proceeding, loss, liability, damage, fine, penalty, cost and expense (including reasonable legal fees) arising out of or relating to:

(a) Customer Data, including any claim that it infringes or misappropriates a third party's rights or violates any law; (b) your or your Users' use of the Service in breach of these Terms or applicable law; (c) any claim by a guest, property owner, vendor, investor, employee or other third party arising from your business, your properties, your bookings, your financial statements or payouts, or your communications; (d) any claim by a channel, OTA, portal, carrier, payment provider or other Third-Party Service arising from your use of it; (e) any regulatory investigation, enforcement action or fine arising from your processing of personal data as controller, including your failure to obtain a required consent or to provide a required notice; and (f) any dispute over the validity, content or enforceability of a document you executed through the Service.

24.2 No indemnity by Rentibly. Rentibly gives no indemnity of any kind, including in respect of any claim that the Service infringes a third party's intellectual-property rights. If the Service becomes, or Rentibly reasonably believes it may become, the subject of such a claim, Rentibly may at its option procure the right to continue, modify the Service to be non-infringing, or terminate the affected Service with a pro-rated refund of prepaid, unused fees. That election is Rentibly's entire liability and your exclusive remedy for intellectual-property infringement.

24.3 Process. Rentibly will promptly notify you of any claim for which it seeks indemnity under §24.1. You will assume sole control of the defence and settlement at your expense, provided that no settlement imposing an obligation or admission on any Rentibly Party is made without its consent. Rentibly will provide reasonable cooperation at your expense, and may participate with counsel of its own choosing at its own expense.

25. Term, suspension and termination

25.1 Term. These Terms begin when you first accept them and continue until all subscriptions have expired or been terminated.

25.2 Suspension. Rentibly may suspend your access, in whole or in part, for: non-payment (§5.7); a breach of §15; a security, fraud or abuse risk; a requirement imposed by a Third-Party Service, a payment provider, or law; or a sending-reputation problem (§11.3). Where practicable Rentibly will give notice and an opportunity to cure; where the risk is immediate it will not.

25.3 Termination for cause. Either party may terminate on 30 days' written notice of a material breach that remains uncured at the end of that period. Rentibly may terminate immediately for a breach of §15 or §16, for insolvency, or where required by law.

25.4 Termination for convenience. You may cancel at any time, effective at the end of the then-current period (§5.2). Rentibly may terminate a subscription for convenience on 60 days' notice, with a pro-rated refund of prepaid, unused fees.

25.5 Effect of termination. On termination, your right to access the Service ends. Accrued fees remain payable. Rentibly will make Customer Data available for export for 30 days after termination, after which Rentibly may delete it. Residual copies in encrypted backups are deleted on the ordinary backup expiry cycle described in the DPA. Rentibly will retain data where law requires.

25.6 Export before you go. Exporting your Customer Data during the 30-day window is your responsibility. Rentibly is not obliged to restore data deleted after that window, and §23.3 applies.

25.7 Survival. §2, §6.1, §6.5, §9.4, §16, §17, §22, §23, §24, §25.5–25.7, §26 and §27 survive termination, together with any provision that by its nature should survive.

26. Governing law and dispute resolution

26.1 Governing law. These Terms and any dispute arising out of or relating to them or the Service are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

26.2 Informal resolution first. Before commencing arbitration, the complaining party will send a written notice describing the dispute and the relief sought to legal@rentibly.com (or, to you, your account email). The parties will attempt in good faith to resolve it for 30 days.

26.3 BINDING ARBITRATION. Any dispute not resolved under §26.2 will be finally resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The seat is Wilmington, Delaware, the language is English, and the tribunal is one arbitrator. Judgment on the award may be entered in any court of competent jurisdiction. Each party bears its own costs unless the arbitrator decides otherwise.

26.4 CLASS-ACTION AND JURY WAIVER. TO THE MAXIMUM EXTENT PERMITTED BY LAW, EACH PARTY WAIVES ANY RIGHT TO A JURY TRIAL AND AGREES THAT DISPUTES WILL BE BROUGHT ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate claims or preside over any class or representative proceeding. If this §26.4 is held unenforceable as to a claim, that claim is severed and heard in court under §26.6, and the remainder of §26 continues to apply.

26.5 Carve-outs. Either party may (a) bring an individual action in small claims court, and (b) seek injunctive or other equitable relief in any court of competent jurisdiction to protect intellectual property, Confidential Information, or to stop unauthorised access — without first complying with §26.2–26.3.

26.6 Court jurisdiction. Where a dispute is not subject to arbitration, the parties submit to the exclusive jurisdiction of the state and federal courts located in Wilmington, Delaware, and waive any objection to venue.

26.7 Mandatory local law. Nothing in §26 deprives you of the protection of any mandatory provision of the law of your country of habitual residence that cannot be derogated from by agreement, nor of the right to bring proceedings in your local courts where that right cannot be excluded.

26.8 Time limit. Any claim must be brought within one (1) year after it accrues, or it is permanently barred, except where a longer period is required by law.

27. General

27.1 Export control and sanctions. You represent that you are not located in, organised under the laws of, or ordinarily resident in a country or territory subject to comprehensive sanctions by the United States, the European Union or the United Nations, and are not on any restricted-party list. You will not export or make the Service available in violation of applicable export-control or sanctions law.

27.2 Anti-corruption. Neither party will offer or accept any improper payment in connection with these Terms.

27.3 Assignment. You may not assign these Terms without Rentibly's prior written consent, except to a successor in a merger or sale of substantially all assets that is not a competitor of Rentibly, on notice. Rentibly may assign freely, including to an affiliate (§1.1) or in connection with a merger, acquisition or sale of assets. Any attempted assignment in breach is void.

27.4 Independent contractors. The parties are independent contractors. These Terms create no partnership, joint venture, agency, franchise or employment relationship, and neither party may bind the other.

27.5 No third-party beneficiaries. These Terms confer no rights on any person other than the parties, except that §24.1 extends to the Rentibly indemnified parties named in it.

27.6 Notices. Notices to Rentibly: legal@rentibly.com and, if a physical address is required, 131 Continental Dr, Suite 305, Newark, DE 19713, United States. Notices to you: the email address on your account and in-product notification. Notice is effective on the next business day after sending. Keep your account email current — notice to a stale address is still effective.

27.7 Publicity. Rentibly may identify you as a customer by name and logo on its website and in materials, in a manner consistent with your published brand guidelines. You may withdraw this permission at any time by written notice to legal@rentibly.com, and Rentibly will remove the reference within 30 days of the next practicable update.

27.8 Changes to these Terms. Rentibly may modify these Terms. For material changes, Rentibly will give at least 30 days' notice by email or in-product before the change takes effect. Continued use after the effective date constitutes acceptance. If you do not accept a material change, your remedy is to terminate before it takes effect and receive a pro-rated refund of prepaid, unused fees. Non-material changes take effect on posting.

27.9 Force majeure. Neither party is liable for any failure or delay (other than a payment obligation) caused by an event beyond its reasonable control, including natural disaster, war, terrorism, civil unrest, epidemic, labour dispute, government action, failure of the public internet or of a utility, cyber-attack, or failure of a Third-Party Service or infrastructure provider.

27.10 Severability. If any provision is held unenforceable, it will be modified to the minimum extent necessary to make it enforceable, or if that is not possible, severed — and the remainder continues in full force.

27.11 Waiver. No failure or delay in exercising a right waives it. A waiver is effective only in writing.

27.12 Interpretation. "Including" means "including without limitation". Headings are for convenience only.

27.13 Order of precedence. Where there is a conflict: (1) the DPA on personal data; (2) an executed Order Form or Service Level Addendum; (3) these Terms; (4) the Documentation.

27.14 Entire agreement. These Terms, together with the DPA, any Order Form and any Service Level Addendum, constitute the entire agreement between the parties regarding the Service and supersede all prior proposals, representations and understandings. Any purchase-order terms or other pre-printed terms you issue are of no effect.
